Edward Mount is collaborating with a prominent law firm, based in Luxembourg, in the search of an M&A Private Equity Associate.
Their practice is recognized as one of the foremost in the field. They are trusted by PE leaders – established institutions and entrepreneurs, as well as emerging visionaries – to handle market-leading transactions, from strategic add-on deals to ground-breaking, monumental acquisitions.
Responsibilities
- Drafting of basic filings addressed to courts and authorities.
- Conducting brief or somewhat more complex research, or drafting of memoranda.
- Drafting of basic agreements, powers of attorney, draft resolutions of GeneralMeetings, waivers of appeal, various statements.
- Involvement in due diligence – analysis of agreements in data room and their subsequent description.
- Communication with clients (via telephone, E-mail).
- Assisting clients with corporate establishment, registration, transformation, governance and liquidation.
- Drafting legal memoranda on broad range of topics arising under commercial law and corporate and labor law precedents.
- Analyzing corporate health of businesses prior to acquisition by clients.
- Joining educational seminar and practice groups.
- Drafting of all types of corporate documents required for organization of all types of companies or for adoption of changes to companies.
Requirements
- Ideally 3 to 6 years of PQE in a banking transactional or capital markets transactional and regulatory practice in Luxembourg.
- Good communication and negotiation skills.
- Strong time management skills, ability to stay calm under pressure when juggling multiple projects.
- Proactive, resourceful, takes initiative.
- Fluency in English. French and/or German may be an asset.
